1. Agreement Overview

1.1 Acceptance of Terms

Welcome to Compliance AI, a division of Ray Management Group ("Company," "we," "us," or "our"). These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Ray Management Group regarding your use of our AI-powered business automation services, including our website, AI agents, call handling systems, lead management platforms, and related services (collectively, the "Services").

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use our Services.

1.2 Eligibility

You must be at least 18 years old and have the legal authority to enter into this agreement. If you are using the Services on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

1.3 Service Description

Our Services include but are not limited to:

  • AI-powered call handling and routing systems
  • Autonomous lead generation and qualification
  • Automated appointment scheduling and booking
  • Campaign optimization and ROI tracking
  • Database integration and location-based routing
  • Business process automation tools

2. Account Registration and Access

2.1 Account Creation

To use certain features of our Services, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

2.2 Account Security

You agree to:

  • Use strong passwords and enable two-factor authentication when available
  • Immediately notify us of any unauthorized use of your account
  • Log out of your account when finished using the Services
  • Not share your account credentials with third parties

2.3 Account Suspension

We reserve the right to suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or if we reasonably believe your account has been compromised.

3. Service Plans and Billing

3.1 Service Plans

We offer various service plans with different features and usage limits. Details of each plan, including pricing and features, are available on our website.

3.2 Payment Terms

  • All fees are due in advance unless otherwise specified
  • Payments are processed through secure third-party payment processors
  • All fees are non-refundable except as expressly stated in these Terms
  • Prices are subject to change with 30 days' notice

3.3 Billing Cycles

  • Monthly plans are billed monthly in advance
  • Annual plans are billed annually in advance
  • Usage-based fees are billed monthly in arrears
  • Late payments may result in service suspension

3.4 Taxes

You are responsible for all applicable taxes related to your use of the Services, except for taxes based on our net income.

4. Acceptable Use Policy

4.1 Permitted Uses

You may use our Services only for lawful business purposes and in accordance with these Terms. Permitted uses include:

  • Managing business communications and lead generation
  • Automating customer service and appointment scheduling
  • Optimizing marketing campaigns and ROI
  • Integrating with existing business systems

4.2 Prohibited Uses

You agree not to use our Services to:

  • Violate any applicable laws, regulations, or third-party rights
  • Send unsolicited communications (spam) or violate anti-spam laws
  • Engage in fraudulent, deceptive, or misleading practices
  • Harass, abuse, or harm others
  • Transmit malware, viruses, or other harmful code
  • Attempt to gain unauthorized access to our systems
  • Reverse engineer or attempt to extract source code
  • Use the Services for illegal telemarketing or robocalling
  • Violate telecommunications regulations or calling restrictions

4.3 Compliance Requirements

You must comply with all applicable laws and regulations, including:

  • Telephone Consumer Protection Act (TCPA)
  • CAN-SPAM Act
  • General Data Protection Regulation (GDPR)
  • California Consumer Privacy Act (CCPA)
  • Fair Credit Reporting Act (FCRA)
  • State and federal privacy laws

5. Data and Privacy

5.1 Your Data

You retain ownership of all data you provide to or generate through our Services ("Customer Data"). By using our Services, you grant us a limited license to process Customer Data as necessary to provide the Services.

5.2 Data Security

We implement industry-standard security measures to protect your data, including encryption, access controls, and regular security audits. However, no system is 100% secure, and you acknowledge the inherent risks of transmitting data over the internet.

5.3 Data Backup and Recovery

We maintain regular backups of Customer Data, but you are responsible for maintaining your own backups of critical business data.

5.4 Call Recording Consent

Our AI agents may record calls for quality assurance, training, and compliance purposes. You are responsible for obtaining all necessary consents for call recording in accordance with applicable laws.

6. Intellectual Property Rights

6.1 Our Intellectual Property

The Services, including all software, algorithms, designs, text, graphics, and other content, are owned by us or our licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

6.2 Your Intellectual Property

You retain ownership of your trademarks, logos, and other intellectual property used in connection with the Services. You grant us a limited license to use your intellectual property solely to provide the Services.

6.3 Feedback

If you provide feedback, suggestions, or ideas about our Services, you grant us a perpetual, worldwide, royalty-free license to use and incorporate such feedback into our Services.

7. AI Services and Limitations

7.1 AI Performance

Our AI agents are designed to perform automated tasks with high accuracy, but they are not infallible. You acknowledge that:

  • AI responses may occasionally be inaccurate or inappropriate
  • Human oversight may be necessary for critical business decisions
  • We do not guarantee 100% accuracy in lead qualification or call handling

7.2 Training Data

We may use aggregated and anonymized data from our Services to improve our AI models, provided such use complies with our Privacy Policy and applicable law.

7.3 AI Limitations

You understand that AI technology has inherent limitations and agree not to rely solely on automated decisions for critical business functions without appropriate human oversight.

8. Service Availability and Support

8.1 Service Uptime

We strive to maintain 99.9% uptime for our Services, but we do not guarantee uninterrupted availability. Scheduled maintenance will be announced in advance when possible.

8.3 Service Modifications

9. Limitation of Liability

9.1 Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9.3 Exclusion of Consequential Damages

WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, OR BUSINESS INTERRUPTION.

9.4 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, terrorism, government actions, or internet service provider failures.

10. Indemnification

You agree to indemnify, defend, and hold harmless Ray Management Group, its officers, directors, employees, and agents from and against any claims, damages, losses, costs, or expenses arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of applicable laws or regulations
  • Your infringement of third-party rights
  • Your Customer Data or content

11. Termination

11.1 Termination by You

You may terminate your account at any time by contacting us at rayr@raysmgmt.com. Termination will be effective at the end of your current billing period.

11.2 Termination by Us

We may terminate your account immediately if you:

  • Violate these Terms or our Acceptable Use Policy
  • Fail to pay fees when due (after 30 days' written notice)
  • Engage in fraudulent or illegal activities
  • Use the Services in a manner that could harm our reputation or other customers

11.3 Effect of Termination

Upon termination:

  • Your access to the Services will cease
  • You remain liable for all charges incurred before termination
  • We will provide reasonable access to retrieve your Customer Data for 30 days
  • Provisions that by their nature should survive will continue in effect

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of the State of New Jersey, without regard to conflict of law principles.

12.2 Jurisdiction

Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in New Jersey, and you consent to the jurisdiction of such courts.

12.3 Arbitration

For disputes involving amounts less than $10,000, you agree to first attempt resolution through good faith negotiations. If unsuccessful, such disputes may be resolved through binding arbitration under the rules of the American Arbitration Association.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy and any applicable Service Level Agreements, constitute the entire agreement between you and us regarding the Services.

13.2 Amendments

We may modify these Terms at any time by posting updated Terms on our website. Material changes will be effective 30 days after notice. Your continued use of the Services constitutes acceptance of the modified Terms.

13.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

13.4 Waiver

No waiver of any provision of these Terms will be deemed a further or continuing waiver of such provision or any other provision.

13.5 Assignment

You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

14. Compliance and Regulatory

14.1 Regulatory Compliance

You acknowledge that the use of AI agents for calling and lead generation may be subject to various federal, state, and local regulations. You are responsible for ensuring compliance with all applicable laws, including but not limited to:

  • Telephone Consumer Protection Act (TCPA)
  • Truth in Caller ID Act
  • State do-not-call regulations
  • International calling restrictions
  • Industry-specific regulations

14.2 Call Recording Laws

You acknowledge that call recording laws vary by jurisdiction and agree to:

  • Obtain all necessary consents for call recording
  • Comply with one-party and two-party consent requirements
  • Provide required disclosures to call participants
  • Maintain records of consent as legally required

14.3 Data Protection Compliance

You agree to comply with all applicable data protection laws when using our Services, including providing required privacy notices and obtaining necessary consents for data processing.

15. Service Level Agreement

15.1 Uptime Commitment

We commit to maintaining 99.5% uptime for our core AI services, measured monthly. If we fail to meet this commitment, you may be eligible for service credits as outlined in your specific Service Level Agreement.

15.2 Response Times

  • Emergency support issues: 2 hours
  • High priority issues: 8 business hours
  • Standard support requests: 24 business hours

15.3 Maintenance Windows

Scheduled maintenance will be performed during off-peak hours with at least 48 hours' advance notice when possible.
